You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the services for any reason at any time, including if we determine that you have violated these Terms & Conditions.

3. User Responsibilities

Violation of these responsibilities may result in termination of your account and legal action where appropriate.

The services and their original content, features, and functionality are and will remain the exclusive property of TalentConnect and its licensors. Our services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TalentConnect.

User Content

You retain ownership of any content you submit, post, or display on or through our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing our services.

5. Payments and Billing

Subscription Fees

Certain features of our services may require payment of fees. You agree to pay all applicable fees in connection with your use of such features. All fees are non-refundable unless otherwise stated in writing.

We may change our fees at any time by posting the changes on the website with advance notice, but no advance notice is required for temporary promotions or reductions in fees.

Automatic Renewal

If you purchase a subscription, it will automatically renew at the end of each subscription period unless you cancel before the end of the current period. You may cancel your subscription at any time through your account settings.

Taxes

You are responsible for paying all taxes associated with your use of our services. If we are required to collect or pay taxes, such taxes will be added to your payments.

6. Disclaimer of Warranties

Your use of our services is at your sole risk. The services are provided on an "AS IS" and "AS AVAILABLE" basis. TalentConnect expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantees

TalentConnect makes no warranty that (i) the services will meet your requirements, (ii) the services will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the services will be accurate or reliable, or (iv) the quality of any products, services, information, or other material obtained by you through the services will meet your expectations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TalentConnect, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the services
Any conduct or content of any third party on the services
Any content obtained from the services
Unauthorized access, use, or alteration of your transmissions or content

In no event shall TalentConnect's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to TalentConnect in the last six (6) months, or, if greater, one hundred dollars ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless TalentConnect and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the services, (b) a breach of these Terms, or (c) content posted on the services.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the services shall be instituted exclusively in the federal or state courts located in San Francisco County, California.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the services.
